Sheldon,

Your analysis is correct. Here are the possible
risks. First, deal can fall through. Second, conversion occurs
using 5 day average share price for ESIO, which might influence
how much you get. BTW, I could not figure out what 5 days
will be used for calculation. Third, the number of DYMO shares
might be higher than indicated.

I think that the complicated share structure,
non-fixed conversion ratio, and low liquidity contribute
to the arbitrage opportunity. However, I might be wrong
and the price might reflect somebody's deeper knowledge.

Of course, I missed the golden opportunity when
DYMO dropped to 1 3/8 ask just after announcing their yearly
results. :-(
