NOTE K - RESTATEMENT

Subsequent to September 30, 2000, in order to more consistently and fairly value
stock transactions, management re-evaluated the Company's policy for valuing
various transactions paid with restricted and unrestricted shares of common
stock. Previously the Company had used the traded value of the stock on the t
ransaction date to value transactions, less a 50% discount for restricted
shares.
