Have you ever heard of an Asset Purchase Agreement?

Yes I have. This is an arrangement where a buyer is afraid of what may be hidden in a business asset or business entity that he or she may be interested in taking whole or part ownership in.

The buyer wants an easy way out in case there is a hidden pot hole that their attorney fails to identify when writing the buyout agreement. I.E, an attempt is made to purchase an asset without acquiring the liabilities of an entity………not often done in the real world.

How many transactions have you closed in the last 12 months?

The answer is none. I don't deal in high-risk message board deals. Do you?
