The buyer wants an easy way out in case there is a hidden pot hole that their attorney fails to identify when writing the buyout agreement. I.E, an attempt is made to purchase an asset without acquiring the liabilities of an entity………not often done in the real world.

No, but I've closed four different transactions in the last eighteen months, all governed by Asset Purchase Agreements.
