I think there are enough positive things going on at Simtek that Cypress is feeling that Simtek is slipping away. Why make this offer now, especially when they have to know the new chip is right around the corner? And with Ron Sartore at the helm of the new subsidiary(remember that Sartore sold his company to Cypress as well as being a veep there prior to coming to work for Simtek), a person with a significant amount of entrepeneurial spirit and thinking, a person that Cypress is very familiar with, they have to feel that this is a positive thing for Simtek. If, as many have been saying on raging bull, that Cypress has the upper hand in selling these new chips, why make an offer for Simtek now, why not just try to outmaneuver Simtek and get Simtek at a cheaper price? I have to feel that Simtek has something that Cypress wants/needs that it doesn't have now.
With that being said, since I am not HB I cannot answer this question for you. My guess from observations from my correspondence with HB is that I think he has something to prove and wants to prove to himself and others that he could turn Simtek into a success. So I would hope that he would hold out for a fair price from Cypress. I also think that he has tried to be ethical in his dealings(I know that there are many that don't feel that way). I would hope that these ethics would push him to sell to Cypress only if the present shareholders are adequately compensated. But I also know that money can do funny things to some people's ethics. I have witnessed it too many times before.
In a long winded way, I guess I am saying I cannot answer your question but would hope(and think) that HB will do the right thing but that is just a guess on my part. I am not selling any of my share right now.
