I am disappointed with the offer. I know Cypress plays hardball but I was hoping that they could have come up with a better offer. Whether I get upset or not depends on whether or not the officers of the company got a better deal than we did.

With that in mind, I also know that it is a difficult environment for the semis right now and I think the problem for Simtek(and I think this was always their problem) was that trying to balance the cash needed for research and development vs being profitable. My take on present management is that they delayed the inevitable for several years and almost pulled things off but couldn't get past the present business environment. I think this is what Cypress was working for ever since the original deal with them was struck. There was never any co-publicity outside of an occasional major announcement and I always thought that Cypress was hoping for a depressed Simtek price to be able to buy them out on the cheap.
