At least one thing I don't understand. I'm used to hearing the term "offshore deal" associated with a "Reg S" offering yet this is set up as a "Reg D". What, if any, is the advantage to having it filed as "Reg D" as opposed to "Reg S"?

Can we eliminate the possibility that some portion of the offering may have already been "pre-hedged" at higher prices away from the normally seen reporting screens?
It seems to me if they do that something else can occur later in a deal where they know they won't have to allow more than $6.45 per share upon conversion.
