The news release in Stockwatch dated December 4 1997, should have stated that
the agreement with Canaccord Capital Corporation, to settle by issuance of
shares, the sum of $13,375.00 owed to Canaccord, will consist of a total of
11,942 shares in the company's capital stock, at a deemed price of $1.12, based
on the average closing price of the company's shares traded through the facilities
of the VSE during the preceding 10 trading days. These shares shall be restricted
until March 24 1998.
