As I see it, Intel has 2 sets of problems. The first is fab/production related. Here they have spent more than enough time spinning their wheels and they should just sell it to TSM.

Their 2nd set of problems is harder to fix, and it's that the nature of the market is changing. The cloud is is a seachange. Servers for the cloud have different needs than run of the mill enterprises. And the clients, AWS, Azure, GCP, are very different than Intel's other clients. Meanwhile, AI, IoT, Machine Vision, etc are the thriving areas for which Intel does not have a coherent strategy.

Here Intel has the fat smoker problem. They have to know it's a big problem, but they have remained behind the curve for too long because the solution is painful. They want to take the easy way and kick the can down the road. But that will ultimately make it worse.
