Digital Equipment Corporation today announced the consummation of the sale of the
assets of its Network Products Business for approximately $430 million to Cabletron
Systems, Inc. The two companies have initiated a strategic partnership that includes
long-term reseller and services contracts.

The new partnership enables Digital to continue to expand its network solutions
capabilities by selling Digital-branded network products as well as complementary
Cabletron products. Under the terms of the acquisition, the Digital Network Products
Group has been formed within Cabletron Systems.

Digital today also announced the formation of the Digital Network Business Segment,
dedicated to supporting the Digital-Cabletron partnership. John Ardini will serve as
vice president of the business segment, which is part of Digital's Products Division.
