Hi Joe:

except for shareholders voting, the deal appears to be done. At this point Pixel Magic (OAK) cannot walk away from the deal. The only thing that could kill the deal is if shareholders vote it down. Both the preferred and common vote as separate classes, a yea vote by common seems assured due to management's stake. The preferred shares ????. I certainly think that the deal will close because the alternative would be bleak.
