C.H: The current P/S is certainly attractive on a standalone basis. However, other near term events are -ve. Rev and Margins are declining. The proposed acquisition will also have a -ve impact with write offs for down-sizing.

Would appreciate the near term reasons if any that make it a more compelling buy.
