just read the POS filing and your post is possibly the worst spin ever...what a crock! Tribune wants to sell its 5.2m shares by selling DEC's, and TLC has to guarantee to Tribune their value, it goes back to the original deal with Tribune, when SKEY bought Comptons. obviously it's time to get out. or at least before the next 60 days when all the mgmt options kick in. good luck
