Sorry to have not responded sooner, but verifying your hypothesis takes a lot of time. At this point, I would have more questions than answers.

1) So far, I haven't found any secondary offering of 4M shares at $3.25 per share, but I will keep looking.

2) I notice that AZNTs former name was Concord Capital. Is there a prior relationship between 1st Concord and Concord Capital?

3) Who got the money from the secondary offering (assuming that there was a secondary offering)? I don't see anything even close to $13M (even allowing for discounting) on AZNT's reporting. However, I will continue to look.

4) Is it possible that there wasn't a secondary offering? Perhaps a company insider sold his/her restricted shares at a discount. Therefore the dollars would be in private hands and not on the books. And that would also explain how restricted shares ended up in the DTC.

5) Where was Lorrichio Jr while all this was occurring? I can understand that Lorrichio Sr is in Brazil and might not have been apprised of what was happening, but Lorrichio Jr is in Las Vegas and most certainly should have known. What is his involvement to date?

6) Who's on the hook? Monetarily speaking, whoever's got the deepest pockets, in this case likely JB Oxford. As far as bending rules or breaking laws, possibly AZNT, AZNT's officers, 1st Concord, JB Oxford and probably others.

7) Where do Zapara and Mork fit into all of this? Are their deeds separate and apart from 1st Concord or is it all related somehow?

Cavalry, it seems like you're defending AZNT and AZNT's legal actions, but it sounds to me like stinky chicken for the shareholders. This is very much going to be a he said/she said type of thing, and someone's going to get burned. I can't say for sure who that will be at this point, but most assuredly the ultimate losers will be the shareholders. You theorized that Mr. Mann's lawsuit was just a ruse. Remember, that's a two way street. None of us knows for sure just which lawsuits have merit and which are merely defensive actions to cover one's butt.
