Nevada Corps can issue more AUTHORIZED shares, but they can't Change the Authorized without a vote.

That's not my understanding.....nor my experience. For example... if what you say is true, then how did my beloved EDII, a Nevada corporation have 46 Million Authorized shares during the summer, and then report a month or two ago in a PR... that the Authorized share count was at 100 MILLION shares????.... there was NO vote...nor are we aware when this happened!

Since learning of this, I've done some checking and have been asking lots of questions, and it seems that Nevada corporations can do anything they want to do, without shareholder knowledge or consent.

I have also, recently held shares in a different NEVADA corporation where they exercised a reverse split without any vote or prior knowledge of the shareholders.

So, I believe you are mistaken in your understanding of this issue.
