Your Delaware corporation is a "domestic" corporation in the State of Delaware. It is a "foreign" corporation in every other state. You will have to register and qualify it in the state(s) within the borders of which you plan to maintain and staff offices or outlets to transact business. This is not necessary if you sell through independent distributors, manufacturer's representatives, wholesalers, retailers or through mail order in such states.

well, we can rest assured that our PRWT is not in violation of this... because we're only an empty shell. PRWT is NOT PanAm, which is what we would like to believe we own.
