Any stock transaction requiring the registration and issuance of a new certificates is routed through the registrar, as well as through the transfer agent. The registrar keeps track of the names of the owners of the company's (issuer's) securities. One of the major responsibilities of the registrar is ensuring that the corporation does not have more stock outstanding than can be accounted for on the company's books. Unlike the transfer agent, the registrar must be independent of the issuing corporation and is usually a bank or trust!
