Further checking the Nevada SOS site, I see that the PanAmercian Corporation is still listed and in good standing [see the bottom of this post]. Why hasn't it been dissolved? Has the RM between the PanAmerican Corporation (Delaware) and the PanAmerican Corporation (Nevada) really taken place? We were told that it had in PR's....
June 1, 1998--Purewater Sciences International Inc. (OTC BB:PRWT - news) announced today that it is merging with PanAmerican BanCorp. (PanAm). #reply-9195536. [hmmmm, just noticed that this PR is dated June 1st and the PanAmerican Corporation (Nevada) isn't listed as existing until June 9th....hmmm, curious]
June 11, 1998--Purewater Sciences International Inc. announced the completion of the merger with PanAmerican BanCorp, an international mortgage and finance company. #reply-5499135
By the above claims made in PR's, we, the investors were all banking on the Nevada Corporation (PanAmerican) merging into the Delaware Corporation (Purewater), the dissolution of the Nevada Corporation, and the resultant entity being named PanAmerican, as claimed in the June 11th PR. And as a result of this claim, the company referred to themselves as PanAmerican and not Purewater in subsequent PR's released after June 11th.

and in the very next PR, the name of Purewater was dropped all together in their heading.

However, months later, we learn that this merger hadn't really taken place as claimed. A shareholders meeting was held in September and a vote was taken to merge the two entities. [please note, the "to merge" the entities, as this had NOT been done as claimed in the PR's.] There has been hot debate since September's shareholders meeting as the stories kept changing, if the merger had been completed or not following the September meeting (as per investors chatting with John Schmitz). Much of the confusion is a direct result of two entities having the same name, or referred to by the same name. [there seems to be a pattern here, with confusing (similar) names or multiple named entities]. As late as January, several posters were admitting that the RM hadn't taken place and the company was heading in a "new" direction. [another noticeable pattern]
It's possible that the RM was never completed (if ever) prior to March 9, 1999 when the company officially had a symbol and cusip change from PRWT-Purewater to PanAmerican. [Please note that the PR's were listing themselves as PanAmerican prior to this (there was a claim that they changed the name #reply-5985575), and the company dropped the Purewater in their subsequent PR's, months prior to March 9th. I mention March 9th, as the OTC-BB site had the company listed as Purewater-PRWT and not PanAmerican-PRWT on March 9th, 1999, this is the date of OFFICIAL confirmation of the name, cusip change.]
