I'm not trying to be obtuse, but I really don't understand the relevance since PABN is not a Nevada corporation.

The site is an advertisement for the services the state offers. I'm sure you realize they make a lot of money from helping people form corporations.

Rather than let this carry on for thousands of posts -g- let me just say that the State of Nevada does not guarantee immunity from liability to a company's officers and directors -- in fact there is no freedom from liability offered to any officer or director (or anyone else) who commits an illegal act. Also State Law requires rather significant disclosure information be on file with the Agent of Record. In addition, A Nevada corporation has to maintain an actual office in the state and a bank account, etc. Maybe someone can find the liability provisions of other states for comparison. Don't ask me how I know this, but I think you'll find that Nevada is not that unique in this regard.

The point is this: the main benefit of incorporating in Nevada is the Federal and State tax benefit. Something I would think you would be particularly able to appreciate.

Rest assured, violations of Federal Securities laws by Nevada Corporations and their officers and directors (or by Delaware Corporations and their officers and directors) are just as much violations of Federal Securities laws as with any other corporations. Why this fact is not understood by jhild and colleenb is either a great mystery or easily understood.

The suggestion by them, which has been repeatedly repeated over the past year, that this is not the case is insane, or a proof of complete ignorance of the subject, or a lie. Regardless, it is not true. Given the renown of the DD abilities of those spreading this untruth, I lean more toward the lie explanation. It fits the mountain of evidence much better than ignorance or insanity. Although if you prefer one over the other, I'd be glad to hear your reasoning. I've been wrong before.
