Colleen, They are referring to IOMS, and First, The Digibill Product.

Practice = The Clinic, aka, the doctors office

Management Services = Include systems to process paperwork and manage billing, etc. (IOMS- Integrated Office Management System)

PanAmerican BanCorp, Inc. Secures Exclusive Marketing Rights for DigiBill™ by Healthwyz, Inc.

Hauppauge, NY- April 13, 1999 –PanAmerican BanCorp, Inc. and Healthwyz, Inc. announced today that they have entered into a joint
agreement for the marketing rights to DigiBill ™, a product in

HealthWyz's IOMS- Integrated Office Management System. DigiBill is a healthcare claims processing tool that runs on Windows CE-based handheld computers. It is the first product in Healthwyz's IOMS, which is a line of proprietary office management tools for the medical industry developed by Healthwyz. Under the terms of the agreement,
PanAmerican acquires exclusive rights to market DigiBill in North and South American from Healthwyz. Healthwyz is currently seeking distribution partners in other global markets, including Europe and Asia.

"DigiBill offers doctors a quick-to-implement, easy-to-use solution to their healthcare processing needs,” said Larry Roof, Director of
Research and Development for Pan American Internet Group, Inc.
"We set out to create a suite of tools that would simplify a doctor's life rather than make it more complicated."

DigiBill is targeted at both group practices and sole practitioners in the medical industry. The key benefits of DigiBill are no entry
costs, one-hour setup, ease of use and a quick turn-around time for payments. Because DigiBill streamlines the billing process and
ensures coding accuracy, it eliminates errors and facilitates more timely insurance payments for Doctor's offices.

Beta testing on DigiBill is currently underway, and marketing efforts, including advertising, sales and educational seminars, are
expected to begin in May 1999. Product availability is expected in the third quarter of 1999.
