Just got off the phone with Joel Beagleman, CFO, he said he is getting clarification as to the relationship of PEC and IVOC, and will
know clearly within the next few days after he meets with principals.
He said financials are being sent out to all shareholders which outlines the merger and the PEC link. PEC is a separate company that is owned by Suraj Tschand, a principal of IVOC. Most of the proprietary software of PEC has been transferred and is now owned
by IVOC. Leo Pudlow, COO, a VP recently hired from Computer Associates, has some great plans for IVOC. Joel said he DID NOT see any BUBBLE BURST in the near future, as to dilution mentioned on SI, Joel said there is nothing to worry about! The letter that was posted this morning by Joel was in fact drafted by Joel and is totally
factual! He said they are in the midst of MANY deals, one of 2 major
ones should be available for release within the next 10 days.

Marketing plan for 7.9 cents/minute is going great. He had to get off phone so I didn't have a chance to ask about the spin-off free shares.
Will let you know if I hear anything else.

Subj: CLARIFICATION OF SLANDER

1. Visual Telephone (VTPI) was never a subject of SEC concern.

2. Mac Beagelman (my uncle) was employed by VTPI for a short time
(late 1996
through early 1997) after Visual Telephone of NJ acquired
Communications Research,
Inc. (CRI) in July, 1996. His job was to help the new company, Visual
Telephone
International, Inc., raise capital for expansion.

3. During Mac's short stay,he introduced VTPI to Michael Pickens,
son of T.Boone
Pickens, the wealthy oilman of the 60's - the person who owned a
large stake in Mesa
Petroleum.

4. Michael Pickens came to New Jersey to do Due Diligence on VTPI
and afterwards
bought $500,000 worth of stock which he personally guaranteed and
signed promissory
notes to be paid at $25,000 per week. He defaulted after two weeks.
VTPI began a
suit against Michael Pickens for default and damges to the company.
This suit is still
ongoing and has been assigned to Communications Research, Inc.
(CRI), and any funds
recovered shall go to all shareholders of record the day of the default.

5. Michael Pickens has been using the Internet for the past year and a
half under at least
20 various aliases disparaging VTPI and all individuals connected to
the company.

6. After being employed by VTPI for only a few months, the company
asked for, and
Mac Beagelman accepted, his resignation (April, 1997).

7. Joel Beagelman, was President of VTPI and is prsently CFO of
i.Voice.Com.
(IVOC), and was never involved with any SEC investigation either to
himself or Visual
Telephone Interntional (VTPI).

8. Any problems and/or circumstances my uncle encountered was
when he was
employed by a company called IntermediaNet (BNET) prior to his
employment at
Visual Telephone International.

Just talked to Joel Beagelman, CFO, again. I took down his private
line # when he called me. Jerald Beagelman is Joel's cousin, but he
rarely even sees him (once a year at weddings), he said the SEC
thing was years ago and it was settled and that Jerald sold
"Packages Plus" and it is still in business today. Jerald has NO
business dealings with Joel or IVOC. Joel said that he is tired of all
the B.S. rumors going around started by Pickens. There is no
negative surprises, no big dilution, he and Jerry MaHoney are going
to build a $100M dollar company with the best software in the
business. Jerry can be reached on extension 210 and by e-mail from
the website. CRI shares will be issued of holders on 21 May 99 in
about 3 months, SEC registration takes 60 days alone. News release
within 10 days. Joel had back surgury last week, he is trying to catch
up on calls, to many though to reach all. He willl call me tomorrow on
details of PEC after his meeting with Jerry Mahoney.
