He is a Director of Research & Development. . . . he is a Director and, as such, has responsibilities; duties to the company. Careful here Scottoo. One could read in your statement that Larry Roof is a Director of the company in the sense that he is on the Board of Directors. Such is not implied by the title of Director of R&D. A Director of R&D can be merely in charge of just that - R&D and have no Corporate responsibilities whatsoever. Apparently by his own words he sees himself acting in that capacity, but also considers himself a consultant. It may also be that he is a Director of the Company too, but that would require a specific statement to that effect. I have not seen him mentioned in that capacity. And it cannot be inferred from the title Director of R&D.
