Jack, What p/e did Pru use for 97, 98, 99, 00, etc.?
What growth rate and what was basis for its speculative rate setting?
What constitutes a "fair price"?

Dear Jack: I see you answered your own question. I would merely point out that when a company eliminates its public shareholders but allows insiders to continue their investment that the Board is probably required to exert a higher level of fiduciary duty than relying ONLY on a fairness opinion (see copy of complaint filed at attorney web site). JDN
