For a bb stock I think the terms of the PP are "fair"....shares won't be issued for pennies on the dollar. I think a bigger issue than the PP is the preferred holders, though the company has to meet certain revenue requirements before they can convert to common eventually if the requirements are met this could mean an additional 20mm shares added to the OS.
