In at least one state (and I suspect many more), a legal opinion on the validity of share issuance must be present before a Rule 504 offering can be completed in that state:

Initial offers and sales of securities by an issuer in reliance on Rule 504 shall be exempt from the registration requirements of A.R.S. §§ 44-1841 and 44-1842, subject to the satisfaction of all of the following conditions:

...6. An opinion of counsel as to the validity of the issuance of the securities and the filing fee required by A.R.S. § 44-1861(E) shall be filed with the Commission at least ten business days prior to the initial sale of securities. ...

PCM, I was going to write about half a dozen scathing rebukes to your drivel this evening.
