Indeed Barbara I understand now that you did not say that they filed a Form D per se. But you did say that you knew about the PP (See: #reply-10180121). Within the context of knowing that a Form D had been filed and that a Form D is a private placement, I think it reasonable to conclude that one has been acknowledged as filed by PABN/PRWT.

On the other hand if the company has made a Private Placement in March and has still not filed with the SEC, then I think they are in the stink hole deeper than their armpits.

The bottom line is they filed what has been placed at Geocities or not. If not, then they either made no filing for their private placement (a no-no), or the page images are a fraud. This will be verified shortly when PCM gets his copy that he says he ordered.

If indeed they did file what has been placed at Geocities, it seems that most everyone is in agreement that they were served badly by the misrepresentations contained in the document. Unfortunately John Schmitz must take responsibility. He is the CEO and signing officer.

As to PABN telling shareholders (some shareholders) and not making a public announcement of their private placement, certainly a material event, this is not exactly fair play especially to those investors that have bought this stock and sustained 50% losses in the meantime.
