I recommend for every body interested in this filing of a form D . First go over and make a copy of the form D(8 pages). than go over to the Geocity site and read the filing line by line. I printed out the blank form and than just followed it with the "supposed" filed copy.
Just looking at the 8 pages of a form D it looks like that could be a true filed form.
The other document over there is not a form D. It is a Prospectus for anyone buying Private placement shares or could also to some extent be used as a Prospectus for anyone thinking of buying shares period.IMHO
I did find a few errors in this document. Mainly the one about PABN buying a on line casino etc. This section looks to have been copied from another document and not proof read to take this part out.(just guessing here). I'm sure if this document was going to be used to present the company to many individuals and they were going to make a private placement of shares ,to more than one or two people, more time would have been put into it. But from the looks of this that is not the case. Except for the fact that it was 1 or 2(could be a Mr.. & Mrs..) people or even could be a company. the only thing known for sure from the info contained in here is that there net worth is over $1 million so they are accredited investors.No where in this document did I find it stated that the shares were restricted or not restricted.I did find it stated that the company was not responsibility for registering the shares. Usually if shares are unrestricted they are already registered and free trading. Someone has to register those shares so who ever bought I would think would be responsible for registering the shares.
If you read this Prospectus for Pabn in context and not out of order like it has been presented to us on this thread(piece here a piece there) you will find it pretty much represents what the company was and is about. Except of course for a few mistakes. Yes the risk factors are there and also company projections for the future .
If you will notice in the section of RISK FACTORS. The company has covered just about everything that can happen even a few ACTS OF GOD. This has to be done in any kind of document used to sell any shares in any publicly traded company. Don't take my word for it , just call any company and ask for their Prospectus. The risk factors are covered extensively.
Last prospectus I read cover to cover was on Lucent tech. for its initial public offering. In the risk factors in this very successful company there was a little matter that AT&T could call in all it shares(over 55% of Lucent) in the company in a matter of less than 6 mos if they wanted to.Well they didn't as you well know by the success of the company. but it could have happened and they legally had to say that it was a possibility.Prospectus's for initial public offerings and Private Placements are usually on the negative side to protect the company from not revealing all risks and in not doing so are open to lawsuits.
I was told back in April that the company had only made one PP . As only one Form D has been filed They told me the truth. I was also told at that time the shares were restricted. You judge for yourself on this point.
I have not been able to speak to anyone at the company regarding the filing. John Schmitz is out of the country till the end of week. Hopefully when he returns he will comment on the filing if it is or if it isn't.
In the mean time I would suggest that anyone invested in the company take the time to read this whole thing IN CONTEXT and ignore the group of bashers that are trying to feed you the info out of context and doing their usually interpretation of info(It says this but it really means this).
To a certain extent I'm also giving you MY opinion of what I think here. Don't listen to me either. Read it for yourself and make your own decision. This whole document from the form D to the prospectus could be made up by anyone. I still have not found any proof one way or the other. Or the Form D could be real and the rest just added
on.Also anyone could have gotten a Form D and filed it no charge for the filing. After all we have heard of people actually doing news release on company that doesn't exist or shareholder sending in a Pr without a company's knowledge.
