From what I'm told you cannot sell restricted shares individual to individual until the restriction is lifted. They are restricted in every way and any use of a restricted stock is illegal. Check your rule book. If I'm wrong then I've been misinformed. The key word is restricted, not registered. Look at the legend on the stock certificates for GOLD and you'll see. They may be registered shares, but they are restricted and cannot be transferred in any case. There are no unregistered shares of GOLD as far as I know.

Unregistered shares can be traded among individuals.
