What's particularly interesting about the S&P application is that it has nothing to do with being "fully reporting".

In essence, the only reason a BB company has for being listed with S&P is to increase the number of states in which it is Blue Skyed. I think S&P registration provides automatic clearance in about 40 or so states.

Why seek such broad based "Blue Sky" registration? It's a simple answer. It permits market makers broader scope to increase retail sales of the stock in question.

IMO, any company that seeks S&P registration before achieving fully reporting status with the SEC has only one thing in mind. Which is, to broaden the shareholder base, rather than taking proper care of its existing shareholders.
