Yes indeed a full registration. You can bet then that this 100M share sale will be registered under the cover of this registration. You were no doubt heartened that they will only be filing pro forma financials on their web site, as opposed to their previous commitment to file them with the SEC by the end of this week. Tomorrow marks the first anniversary of John Schmitz claiming that financials would be filed shortly. As it stands they are still not going to file with the SEC. Why do you figure they are evading?
