Chuck, Please notice the section in the press release "Further
details on the timing and structure of the transaction will be announced during the next month. VIA intends to continue to develop and market the successful line of Cyrix CPUs."

What these bold words suggest are:

1. Most likely, it's NOT an outright sale to Via. If sell outright, no need to hide the nature of the transaction.

2. Someone other than Via will make the chip.

So the 50/50 does make sense, especially from Via's point of view, to make the IP issue less troublesome.

If 50/50 holds true, it's a better deal to AMD than to Intel.

Via/Natsemi will replace AMD as Intel's enemy #1.

Less heat for AMD, in terms of relationship with Intel.

There maybe great battles to be fought by Intel for the IP issues related to JV - A work-around by Nat to assist Via and to make the Deal happen. Brian Halla is worse than Jerry in the eye of CB, starting from today!

The deal is NOT final. On LOI stage, a third party can still make a bid for Cyrix.
