Here is a little info on the Form SB-2. Wonder why they are filing an SB-2? This is the form that is filed when you register shares to sell. Why would they be registering shares to sell? Why aren't they just reporting their financials? Hmmmmmm. :

Form SB-2 -- Optional Form for the Registration of Securities to Be Sold to the Public by Small Business Issuers
A. Use of Form and Place of Filing.

1. A "small business issuer," defined in Rule 405 of the Securities Act of 1933 (the "Securities Act") may use this form to register securities to be sold for cash. See also Item 10(a) of Regulation S-B.
