I really don't think this is anything like the DEC/CPQ deal. For one thing, CPQ bought DEC but found many problems that it did not anticipate. Qwest is buying FRO for its customer service but also to get rid of GBLX. Its buying USW for its customers. Qwest will probably sell off what it doesn't want to help pay for it, such as the rural customers in USW or FRO.

More importantly, the CPQ deal took place just as the PC glut began. Now they are suffering. I don't think Qwest or any other telecom has this problem, and will not for quite a while. Data transfer will be huge where the fortunes will be made in the 2000 decade, just as the box was in the 90's. The company that can provide value added service, massive bandwidth, and last mile connectivity via cable or DSL will make gobs of money.
