Hello Howard. It's been awhile. Once Mike made an appearance here I knew you would be in the background. I did see a reference to GUMM on Zeev's thread triggered by their financing activity and sensed the GUMM story would start to make the rounds. BTW I have made no statement that GUMM doesn't have real orders (unless they're lying and I don't think that is the case). As I stated I think the ZICAM story is "being setup" given that the cold season is just a few months away. As it pertains to the article we know that's been in the works for a while and will certianly provide support for ZICAM. We'll have to see what comes out but it is something that needs be considered.
I went through the S-3 Reg, however I haven't put all the pieces togeather to make a final judgement on financing.
I'm anxious to here a forensic analysis of the financing.
I am not short GUMM at this time (you know my past history on GUMM) but I'm exicited. I want to understand the financing, restrictions on the newly registered shares and so on as I suspect a real shorting opportunity will present itself in the near future.
I do have the opinion that GUMM is a financial weakling (which is why I'm not long). the real question is how hard is Gunn Allen going to peddle this thing, what kinda hype will we see in the market and how high will it go? Part of the story will be insider selling (read Citidal) and when and how much will they sell out.
All in all I'm in agreement with you Howard that this can be a dangerous short, for now anyway. However I do understand the rational of the fundamental viewpoint which will price itself into GUMM once the reality of the business sets in.

Howard, GUMM was brought up on the floorless thread, so I went to look at the S-3. I see no floorless there. There are $2 MM face value of preferred, but the conversion is only at maturity (and yes, then, June 2001, it is based on 80% of the stock price in a trailing period, so there might be some weakness going into the repricing, but not a death spiral).

As for their business, you are the MD, but since they are selling this zinc based snake oil as a homeopatic ambrosia, they do not need FDA approval (just just must be careful with their labelling claims), as far as effectiveness, I would presume anything, even sugar pills (or other placebo) will elicit about 25% response of "Feel better", so they will have ample anecdotal "proof" that the snake oil will work. I think they indeed might have something, but of course it could be replaced with another fad (milk of magnesia package for colds?). Good luck.

Shorting this one into the cold season might be a Russian Roullette play.
