You are right about the effective date of the new rules. The date the new rules became effective was not published in the link I used. Therefore the new rules did not apply to PABN's PPM. However, the shares are restricted. "Restrictions on Transferability of Securities: The Shares offered hereby have not been registered under the U.S. Securities Act of 1933, as amended (the "Securities Act"). The Shares may not be acquired with a view to immediate resale or distribution thereof.
