I thought so too. There was nothing in the prospectus about issuing stock to IDTC shareholders.

we have discussed ways to distribute NTOP shares to IDTC holders after hawaii60 brought the issue back for more debate a short while ago (how to distribute shares that would not create big selloff prior to and after the IPO). however, the dividend tax-free shares option was never mentioned on this thread. IMO, this is absolutely enticing. furthermore, nobody knows FOR SURE whether or not shares would be distributed. so, i think the debate is healthy, not at all a deceptive attempt.
