* * PROXY STATEMENT * *

I got my proxy statement in the mail today (I'm only 30 miles from Jupiter). Highlights:

* Ivy will present itself to Eutro with a complete set of financial statements evidencing assets of a minimum of $6,000,000.

* Eutro's management negotiated with company creditors that held liabilities totaling $2,774,549.26 to exchange their claims for Eutro shares. This necessitates the issuance of 185,147,023 shares of Eutro of which 78,729,388 will be restricted. This will bring the total issued common shares to 356,249,977.

* The stock of Eutro will then undergo a 1-250 reverse split.

* All of Eutro's officers and directors have submitted their resignations. New directors will be appointed by the new management

* New board of directors: James Krantz, David Kane, Howard Helfant, Richard Gladstone, Mark Colacurcio

* Preferred dividends to June 30, 1999 ($102,781) will be paid at closing from funds provided from Ivy.

And from an additional note to shareholders:

* Due to delays from various agencies and packaging, the date has been extended from July 29 to August 9.

* In view of the transition period required for approval and completion of the merger, the Eutro office will be closed fro July 26 to August 9. Proxies will be tabulated and submitted to the directors on August 10.
