Nasdaq Application

Dear Investors:

Zeros & Ones has not applied for Nasdaq Small and will most likely not be listed by September. The Company is in the process of completing a $20,000,000 private placement. Once the financing is complete and meets the listing requirements, it is the Company's intention to file an application for listing.
