I've read a handful of filings detailing the nature of floorless or supposedly floored variable convertible debentures issued by several companies I inspected as potential trade candidates. They were Reg. S issuances and waived the borrower's right to resolve disputes with the lender in court and instead compelled arbitration. In all of the filings I've read detailing the nature of variable convertible debenture issuances, there was always a clause stating that the lender had essentially agreed not to short the borrowers stock without the borrower's permission. Nonetheless the stock prices still nose-dived in correlation with the terms of the debentures regarding its conversion. As Mr. Jens Tingleff stated ironically, "Nice of them to agree." :))

Just doing some strolling through the SEC filings and came across SCUR. Is this the kind of thing we are looking for here, and if so, what's your prognosis for this sickly specimen?
