New issued shares - I asked the same question when talking to Michael and here is his answer - "This time we'll go with an underwriter because they already have buyers for those shares".

After an admittedly brief glance at the SB/2A, it appears to me: 1) the company may be sold out from underneath you at fire sale prices (i.e. heavy dilution is likely at or near the present stock prices), and 2) the fact that the "maximum" offering price keeps dropping indicates that management is desperate for funds at whatever cost to existing shareholders.


It just gets uglier and uglier.

It may be a little premature, but I am starting to get very concerned about the current condition of FNTN once again. Why did FNTN re-file again when they were supposedly going to get a response by 8/14/99 that would most likely allow them to be fully reporting (or perhaps require a few small corrections according to MS)? I hope it's not the case, but it looks like the process will most likely be delayed by the new filing.

In addition upon quickly reviewing the new SEC filing, it looks like they may add as many as 16 million shares to the existing 23 million shares to bring the total count to 39 million (originally I thought they were going to sell 2 million additional shares which is okay, but 16 million shares is a huge dilution and nothing short of extremely abusive to current shareholders). I just hope I am misinterpreting these filings.

MS is really really starting to upset me. What happened to the 8/14/99 SEC response plan? Why the planned huge increase in shares at these pathetically low prices? When will we see real revenues, and when the 2nd quarter revenues are released will they really be over $90,000 (or is this more BS from MS)?

I am trying to remain positive but the FNTN management has been giving us nothing but false promises and delays. If we see 2nd quarter revenues of over $90,000 or full reporting status by the end of August 1999, I will take back some of these criticisms towards FNTN (but such a huge share dilution from 23 to 39 million would be hard to understand or forgive).
