Ron, not enough details in the PR to form an opinion about whether the financing is toxic or not. There is usually a form 8-K submitted to the SEC within a few days of such an announcement which lays out the terms of the deal. I'd watch for that, and look for the terms for how the preferred shares can be converted to common. If it is a fixed price (particularly a fixed price at a premium to the current market price), it is a good deal. If it is a variable price conversion, run for the hills.
