Alberto, any interested party can file a legal complaint to try and stop this (at their own expense). If, aside from the big boys, MVEE has only a diverse base of small shareholders then it is unlikely that this will happen. The stakes are probably too small here to find a firm who will handle this hoping to have a class action established. Thus, if all the little guys are willing to be taken, they soon will be and therefore you would be correct as a practical matter. It is exactly that "identical principal and directors" which in large part support the appearance of impropriety here.

For my part, I'm still holding on. Reviewing what I can and awaiting the proxy materials. Thanks to those who have provided information. Transparency sucks here, to be sure, but one expects that in this type of investment.
