I spoke to Henry for a few minutes last evening.

1) For what purpose is the company registering 25 million options at 5 cents? Does this not exacerbate the problem of unfettered dilution which the company is staggering under now?

They are considering some additions to the personnel. In order to get the quality they want, options would have to be in the package. This number was selected to have enough in reserve to last for some time and would not likely be all used. They didn't want to have to do it again so overstated the expected need. These normally vest over a period of time so the impact is very slow. An example would be in equal stages quarterly over a three year period. I don't know why a nickle was selected except the price of the stock is there right now and immediate hirings would be looking at that. Someone could ask the question whether this number is a floor and the actual awarding could be higher. Maybe they can go up and not down.

2) Why have the terms of the 2nd PP not be announced? When will the terms be announced?

As soon as the final funds are received for the later installments and the final calculations are in place. That is just my understanding from a prior recollection.

3) In management's opinion, what will total outstanding shares be in 6-12 months?

Didn't ask. I think there are still some conversions to be done and the terms of the second PP, once known, should allow us to figure it out approximately.

4) What is current outstanding shares?

Check with the TA. On 8-30 we were at 137m according to a post.

Hi Suzanne, I just got off the phone with Paul Henry.

(1) I asked him about the number of distributors for
MyPhotoCard - and he said in the single digits or low
double digits. I told him I would call him back on Monday
to confirm the number and also to clarify who Scott
Richards is.

(2) Funding - He said that announcement would most likely

come in a few weeks but certainly before the end of the
month.

(3) Options - I asked him why 5 cents was used. He said
that was used for the purpose of calculating registration fee.

I hope someone calls Paul Henry back to confirm my
understanding. These issues are important IMO.
