It may be that the money was in hand but the target preferred stock. Maybe they talked to Kemble who advised that they would just have to use that money to buy Dell stock anyway!

If Dell is using existing stock that they now own, and this stock is used to compute the dilutive eps that is shown in the financial report, then I don't think its a problem.
