With Dell sitting on 4B of cash, clearly, existing shareholders would prefer a cash purchase to the minor dilution that we'll see.

From ConvergeNet's perspective, there would be some serious tax implications immediately for a Cash rather than Stock deal.

IMO, as long as one accepts that ConvergeNet will bring value to Dell's product line, than it's a relatively small price to pay to get into this market niche.

Be thankful, MSD didn't pull a John Chambers "gotta have Cerent" at any cost type deal.
