JDS Uniphase Acquires AFC Technologies

I am very pleased to announce the recent acquisition of AFC Technologies
based in Hull, Québec. Founded in 1996, AFC develops, manufactures, and
sells leading-edge optical amplifiers and high-power broadband sources. The
transaction will enhance our existing strength in optical amplifiers to better serve
the growing fiberoptic communications market.

In recent years, AFC has developed state-of-the-art products such as the
Double Band Fiber Amplifier (DBFA) and SmartAmpTM intelligent networking
amplifiers to meet the needs of the rapidly evolving fiberoptic market. In
addition, they have developed a line of proprietary Broad Band Source (BBS)
instruments designed to minimize component manufacturing cost. As well, AFC
has served the medical community by offering unique high power broadband
sources for optical biopsy, which offers the most advanced diagnosis for early
stage disease detection.

AFC has 12 full-time employees. The founder, Dr. Dan Yang, is Chief Executive
Officer and Chief Scientist. Prior to AFC, Dr. Yang worked with MPB
Technologies where she designed and constructed SONET/SDH long-haul
communications systems. She has published some 20 research articles and filed
six U.S. patents. Dr. Yang received her B.S. degree in 1986 from Nanjing
University, China, and her MS and Ph.D. degrees in Photonics from the
University of Paris in 1988 and 1991 respectively.

We are currently in the process of developing an integration plan for AFC. In the
interim, AFC will continue to operate as it has in the past.
