The difference between requirements for the SB-2 and Form-10: SB-2 Form-10 101 101 102 102 103 103 201 201 202 202 n/a 301 n/a 302 303 303 304 304 n/a 305 310 n/a 401 401 402 402 403 403 404 404 501 n/a 502 n/a 503 n/a 504 n/a 504 n/a 506 n/a 507 n/a 508 n/a 509 n/a 510 n/a n/a 601 n/a 701 n/a 702 The SB-2 actually requires more information than the Form-10. You must decide, by lookiing at the details, which filing would make you feel most comfortable buying a stock of a company that has had a questionable history and 1/2 Billion shares outstanding.
