American Express's Fleming on Possible Sprint Purchase: Comment

Minneapolis, Oct. 4 (Bloomberg) -- Bern Fleming, portfolio manager of
the American Express Utilities Income Fund, on the competing offers
for Sprint Corp. by BellSouth Corp. and MCI WorldCom Inc. Fleming's
holdings include about a million shares of both MCI WorldCom and
BellSouth, and 400,000 shares of Sprint's PCS wireless unit.

''From a business standpoint, I think
WorldCom can probably make a cleaner
case (than BellSouth).'' That's because
BellSouth isn't allowed to offer
long-distance service and probably won't
be able to for some time, he said.

Sprint has wireless and wireline
properties within BellSouth's territory, he
said, raising issues about competition.
A transaction also ''isn't going to do
BellSouth's stock a whole lot of good
either, it would be dilutive to earnings for
a good period of time.''

''It just would appear to be less
troublesome from the regulatory angle
for WorldCom to do the deal. If I were Sprint, I'd probably lean toward
WorldCom.''

''There's a time value here too, of course. Who could close sooner,
BellSouth or WorldCom? If the prices were equal, looking at the time
factor involved and the property issue, I'd probably lean towards
WorldCom.''
