<No David, the release said that it was based on the closing price of $83.625, that would make TVGIA worth $54.97.>

Press release says "exchange ratio is NOT subject to adjustment"... the 9.2 bill is based on that previous closing price... further more the merger has strong support from both boards... TVGIA is currently worth 48.75 based on GMST's $74 last.

WS obviously does NOT like this deal.

To heck with WS. That's what I said when GMST bought SGHT 2.5 years ago and I bought into GMST in a big way. WS priced GMST at $5.50 at that time(dropped GMST like 35%). I am up 1600% on those shares. I think today is a GREAT buying opp.(and I took advantage of it). If GMST falls further, I am buying more!
