Together, both companies could be a major force in the industry. I have heard the corporate cultures are very different. It would be akin to the JDS to Uniphase merger. IMO, it would be really, really great to have it happen: there is great synergy in their products, and no major conflicts. If they do not merge, SDL and ETEK will each be a distant second to JDSU. Their marcaps differ by about 8 or 9 to 1 at the present time. This ratio has been increasing, not decreasing. A merger would catch it up, and the synergy would put it on a fast track to parity. The real question is: why it has not happened already?

JDSU-SDLI merger is highly likely. GLW brought OAK and therefore, the only laser source company left is SDLI. JDSU wants to be CSCO of the optical fiber components. They shall eye on SDLI now. SDLI will be brought by someone in within 6 months.
